These Terms & Conditions ("Terms") govern your access to and use of the Jesterlift website and the purchase of products and documentation from Jesterlift Inc. ("Jesterlift", "we", "us" or "our"). Please read them carefully.
By accessing this website, requesting a quote, or placing an order, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of a company or other entity, you represent that you have authority to bind that entity. If you do not agree, do not use the website or purchase our products.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access the website for legitimate business purposes. You agree not to:
We aim to describe Products and their specifications — including material grade, surface finish (Ra), IP rating, and cleanroom classification — accurately. Published specifications, images, and renderings are provided for general guidance and may be updated. Minor variations consistent with manufacturing tolerances and continuous improvement may occur. The Documentation that ships with a Product reflects that specific unit. You are responsible for confirming a Product's suitability for your intended application and regulatory environment.
Prices are published in [currency] and are exclusive of taxes, duties, and shipping unless stated. Published prices and competitor-comparison figures are for information only, may change without notice, and do not constitute a binding offer until an Order is accepted by us in writing. We reserve the right to correct pricing or specification errors prior to acceptance.
An Order is binding only when accepted by Jesterlift in writing (including by order confirmation). Payment terms, deposits, and accepted payment methods will be set out in the quote or invoice. You are responsible for all applicable sales taxes, GST/HST, duties, tariffs, and similar charges. We may suspend or cancel Orders for non-payment or suspected fraud.
Quoted lead times are estimates measured from Order acceptance and receipt of any required deposit, and are not guaranteed. Unless otherwise agreed in writing, Products are sold [FOB / EXW — Incoterms® as specified on the quote]. Title and risk of loss pass to you upon [delivery to the carrier / the agreed Incoterm point]. You are responsible for inspecting shipments on receipt and noting any visible damage with the carrier.
Jesterlift warrants that Products will be free from defects in materials and workmanship under normal use for a period of [12 months] from delivery, subject to the conditions and exclusions set out in the applicable quote or warranty schedule. Our sole obligation under this warranty is, at our option, to repair, replace, or refund the affected Product. The warranty does not cover misuse, improper installation, unauthorized modification, normal wear, or failure to follow maintenance and cleaning procedures.
Because Products may be configured or manufactured to order, returns and cancellations are subject to our written return policy and may incur restocking or cancellation charges. Custom or made-to-order items may be non-returnable. Contact us before returning any Product; unauthorized returns may be refused.
All content on this website — including the Jesterlift name and mask logo, text, graphics, product renderings, and Documentation templates — is owned by or licensed to Jesterlift and protected by intellectual-property laws. You may not use our trademarks or content without our prior written consent, except to the extent necessary to use a Product you have purchased.
You agree to indemnify and hold harmless Jesterlift and its officers, employees, and agents from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the website or Products, your breach of these Terms, or your violation of applicable law.
You are responsible for complying with all laws applicable to your purchase and use of Products, including health, safety, environmental, customs, sanctions, and export-control laws. You represent that you will not export, re-export, or divert Products in violation of applicable trade-control regulations.
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply. The parties submit to the exclusive jurisdiction of the courts located in [Toronto, Ontario], except that either party may seek injunctive relief in any court of competent jurisdiction. Where the parties agree in writing, disputes may be resolved by arbitration under [applicable arbitration rules].
Jesterlift is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of God, labour disputes, supply-chain disruption, tariffs or trade actions, transport failures, or governmental action.
If any provision of these Terms is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a business transfer. These Terms, together with the applicable quote, Order confirmation, and Privacy Policy, constitute the entire agreement between you and Jesterlift regarding their subject matter. We may update these Terms from time to time; the "Last updated" date reflects the current version, and continued use constitutes acceptance.
